Over-the-Counter (OTC) Derivatives
Financial contracts traded directly between two parties, such as swaps, forwards, and options, without going through a centralized exchange. OTC derivatives carry higher counterparty risk than exchange-traded instruments.

“A corporation entered an OTC interest rate swap with a bank, exchanging its variable-rate loan payments for a fixed rate to hedge against rising interest rates.”
